The paper introduces the role of the director board and concrete measures when it participates strategic construction of a company in U.S. in terms of the strategic aim, main principles, effective strategic construction and key factors needed to be weighed, supervision over performing, adjustment and outcome of the strategy, and key factors which can insure the effectiveness of the company strategy including selection of director, education, evaluation and payments.
