Abstract:　

A stock option scheme can effectively play the role of incentive only if it is well designed, managed and enforced. Based on the materials obtained from the US and Hong Kong, the paper gives an account of the design, granting, exercising and transfer of options in the stock option plan and the relevant issues. It also makes policy proposals for developing specialized consulting organizations in China.
