Abstract:　

The paper makes a brief summary of the stock option incentive mechanism in the US listed companies and describes the four key links concerning salary stock options and types of salary stocks. It studies the relationship between stock options and taxation system, performance standard and corporate governance, and discusses the cases of equity incentive in China.
