Abstract:　

The paper elaborates on the features of the salary of senior managers in China’s listed companies and their holding of stocks and puts into perspective the main issues that need to be addressed to adopt stock options. It researches into the relationship between adoption of stock option system in listed companies and the corporation acts and comes up with proposals for amending relevant corporation acts.
